1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Citizen Pay website, applications, and related services (collectively, the "Services") operated by Citizen Pay BV ("Citizen Pay", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

2. Eligibility

You must be at least 16 years old and capable of entering into a legally binding agreement to use the Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Your Account

Some features of the Services require an account. You are responsible for maintaining the confidentiality of any credentials associated with your account and for all activity that occurs under it. Notify us promptly of any unauthorized use or security breach.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party right.
  • Engage in fraud, money laundering, financing of terrorism, or any other illicit activity.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of any part of the Services, except as permitted by law.
  • Use the Services to send spam, malware, or other harmful content.

5. Payment Services

Citizen Pay facilitates payments between merchants and customers. Specific terms relating to payment processing, fees, settlement, refunds, and chargebacks are set out in a separate merchant or user agreement provided at the point of onboarding. In the event of a conflict, that agreement prevails over these Terms with respect to payment processing.

6. Intellectual Property

The Services, including all content, software, designs, and trademarks, are owned by Citizen Pay or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. All rights not expressly granted are reserved.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Citizen Pay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if required by law. You may stop using the Services at any time.

11. Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Services or by other reasonable means. Your continued use of the Services after the changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of Belgium, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Brussels, Belgium, except where mandatory consumer protection law provides otherwise.
